This would be the case if both partners had different skill sets and could head up different aspects of projects. It is also simple to set up and easy to raise funds.

In a limited partnership, you have two main benefits of choosing this type of partnership. The first benefit of this is that partners are held less liable for the business in this situation. The second benefit of this type of partnership is that it is more likely to attract the attention of investors.

The Weaknesses of a Partnership

Although there are many benefits to pursuing a partnership whether that be a general partnership or a limited partnership there are weaknesses that need to be considered and reviewed. Going into a partnership could set you up for major liabilities. By partnering you are potentially allowing liabilities to affect your assets and your business by combining with another company. Another weakness is the unclear authority for the business. If going into an equal partnership this gives anyone in the partnership the right to speak for and make decisions for the company which can be a problem if partners aren’t seeing eye to eye. These are just a few issues that can come up with partnerships.
